PwCC Ltd. announced that it filed its S-1 for $1 billion in Class A common shares for the consulting unit of auditing giant PricewaterhouseCoopers, to be listed on the NYSE. PwCC Ltd. is a Bermuda-based corporation, which will be the sole general partner of a Luxemburg-based partnership, which will likely create subsidiaries for national firms and other entities. This shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
